Summary

We are seeking an Assistant General Counsel, Financings & Securities Compliance, to lead a team of lawyers providing legal support for the BCE group of companies corporate finance initiatives and in various public disclosure and compliance matters. The ideal candidate should have at least 7-10 years of relevant legal experience gained in private practice and/or in-house, with a particular focus on corporate finance activities and securities compliance obligations of public companies, including experience in leading team members.

Key Responsibilities
  • Lead, directly or by providing support to team lawyers, all legal aspects of various corporate finance transactional files and securities and corporate law compliance matters.
  • Support the Treasury team in public financings, banking and other corporate finance initiatives carried out by the BCE group of companies.
  • Support the Controllers, Communications and Investor Relations teams by drafting, reviewing, and advising on public corporate disclosure documents such as MD&As, Annual Information Forms, financial statements, press releases and analyst presentations.
  • Support management in contract interpretation and negotiation and draft other documents such as board resolutions and company policies.
Critical Qualifications
  • Called to the Bar of a Canadian province
  • At least 7 to 10 years of relevant legal experience gained in private practice and/or within the legal department of a Canadian public company, including experience in leading team members
  • Strong written and verbal communication skills
  • Ability to understand, simplify and explain complex legal issues to senior business leaders
  • Knowledge of the French language, verbal and written, would be a definite asset
