Join Shumaker, where the excitement of legal excellence intersects with an enjoyable and vibrant workplace! As an attorney in our Corporate, Tax & Transactions Service Line, you will engage in sophisticated and challenging transactional work for clients in Florida and nationwide.

We are seeking a candidate with at least 7 years of experience working with venture capital, private equity and/or real estate sponsors on all aspects of fund formation, including (i) structuring and forming investment vehicles such as private funds, joint ventures, special purpose vehicles, alternative investment vehicles, feeder funds, and co-investment entities, (ii) preparing offering documents such as limited partnership agreements, private placement memorandums and subscription agreements, (iii) capital raising and side letter negotiations, and (iv) compliance with applicable U.S. laws and regulations. The ideal candidate will also have experience counseling institutional investors in connection with the negotiation and management of their investments as limited partners in venture capital, private equity and/or real estate funds. Prior experience advising on compliance with the Investment Company Act, the Investment Advisers Act, and state and federal securities laws is required.

This position can sit in any of the following offices: Akron, Columbus or Toledo, Ohio; Sarasota, St. Petersburg or Tampa, Florida; Minneapolis, Minnesota; Charlotte, North Carolina; or Charleston, South Carolina; we are open to a hybrid/remote candidate for the right fit.

Education, Experience and Skills:
  • Juris Doctor degree from an ABA accredited law school
  • Active bar license for the state in which candidate will work out of
  • 7+ years of private fund and/or investment management experience
  • Experience advising on compliance with the Investment Company Act of 1940 and the Investment Advisers Act of 1940
  • Project management skills, including the ability to successfully manage and prioritize multiple projects and deadline
  • Excellent written and verbal communication skills, as well as analytical, problem-solving, and decision-making skills
  • Ability to work independently and maintain a high degree of confidentiality

Physical Requirements:
  • Sitting position static for up to one-half hour at a time
  • Lifting and carrying up to 20 pounds occasionally, up to one hour per day
  • Bending and stooping occasionally, up to one-half hour per day
