Job Summary

The Director, Legal and Corporate Secretary will be responsible for overseeing all legal and regulatory affairs of CareRx, ensuring compliance with all laws and regulations applicable to a publicly-traded healthcare company. They will work closely with the executive team, Board of Directors and external counsel, to provide legal and strategic advice to internal and external stakeholders.

Key Accountabilities

  • Providing day-to-day legal advice and support to the Executive Team, Board of Directors and other internal stakeholders to drive positive business outcomes in line with all legal and regulatory requirements while appropriately mitigating risk.
  • Serving as the Corporate Secretary of CareRx, overseeing Board governance, preparing of Board materials, taking minutes at all Board meetings, and ensuring compliance with best governance practices.
  • Acting as the Chief Privacy Officer of CareRx, overseeing all privacy matters and ensuring compliance with healthcare privacy requirements.
  • Supporting the Business Development team in contract negotiations, reviewing Request For Proposal responses (RFP) and providing strategic advice.
  • Supporting the People and Culture team on employment-related matters.
  • Working with external real estate property advisors on all lease negotiations.
  • Supporting the Communications and Marketing function to ensure all messaging, marketing collateral and Environmental, Social and Governance (ESG) reporting meets business and legal requirements.
  • Overseeing any legal disputes and litigation with the assistance of external counsel where appropriate.
  • Reviewing all contracts and agreements to ensure legal risks are appropriately mitigated.
  • Reviewing internal policies and procedures to ensure legislative compliance and best practices are adhered to.
  • Overseeing M&A transactions with the support of external counsel and CareRx's Business Planning & Analysis team.
  • Reviewing public disclosures to ensure compliance with Toronto Stock Exchange and securities law requirements, including primary oversight over preparing CareRx's Annual Information Form and Management Information Circular.
  • Managing CareRx's roster of external counsel in a cost-effective manner.


Qualifications

  • J.D./LL.B. from an accredited law school and a member in good standing with the Law Society of Ontario.
  • 5+ years experience in corporate/securities law with a recognized law firm or as in-house counsel.
  • Experience working for a Canadian publicly traded organization is preferred.
  • Experience in mergers and acquisitions, securities and/or corporate law is preferred.
