Job Summary:

We are seeking a highly motivated, organized and detail-oriented Assistant GC to join our team to provide legal and compliance functions across the organization and its subsidiaries in a busy and fast-paced environment. The Assistant GC will be responsible for contract lifecycle management, including reviewing, drafting and negotiating a wide variety of agreements; overseeing litigation matters, ensuring FCC, SEC and other corporate compliance for TV and radio stations and managing board administration. This role is an exception opportunity for junior/mid-level attorney to gain exposure to a public media company, collaborating closely with senior legal professional and various internal business leaders to ensure compliance, manage legal risks and support the business's strategic objectives.

Responsibilities:
  • Transactional: Review, draft, negotiate and manage various types of contracts on a daily basis, including operational contracts (vendor, services, syndication, license, and confidentiality agreements), employment-related agreements (employment, severance, and independent contractor agreements), lease and sublease agreements
  • M&A: support mergers & acquisition deals documents, and credit agreements.
  • Litigation: Manage potential and active litigation, coordinate with external counsel and develop legal strategies.
  • FCC Compliance:
    • For each TV and radio station:
      • Manage Quarterly Issues List filings (remind stations, review filings, and confirm submission).
      • Manage Annual EEO filings (remind stations, review filings, and confirm submission) with varying dates for each station.
      • Prepare and submit license renewals with varying dates for each station.
  • Corporate Entity Compliance: For each TV and radio station, MediaCo and SMG entities, file annual reports for each corporate entity with varying due dates at city/state levels in Vcorp and CSC.
  • Board Administration:
    • Prepare Board Meeting calendar invitations and notices for Audit Committee, Compensation Committee, and Full Board meetings.
    • Contact Board Chairs for agendas for each meeting for Audit Committee, Compensation Committee, and Full Board.
    • Prepare Board packages and coordinate Board presentation decks.
  • Antitrust Compliance:
    • Obtain annual employee certifications for KBSI (Cape Girardeau, MO) and WDKA (Paducah, KY).
    • File annual compliance certification with the Department of Justice (DOJ).
  • Contract Management::
    • Organize legacy documents across various platforms and incoming documents using a new AI supported contract management system, including tracking pending contracts, renewals, department notifications, and status updates. Track contract approval processes and workflows and ensure compliance with SOX contract approvals and vendor execution tracking (MSA, SOW, NDA, etc.).
  • Additional Responsibilities:
    • Coordinate with the C-Suite on special projects; provide legal counsel to sales team, production team, HR, creatives on a wide range of legal issues.

Qualifications:
  • JD from an accredited law school.
  • Bar membership in good standing, preferably in New York.
  • 2-5 years of legal experience, preferably in a law firm or corporate legal department of a public company or media company
  • Strong organizational and time-management skills; ability to prioritize tasks and meet multiple, competing deadlines.
  • Sound business judgment and the ability to work well in a fast-paced team environment.
  • Excellent attention to detail and accuracy.
  • Strong written and verbal communication and interpersonal skills.
  • Analytical skills with ability to assess legal issues and provide practical solutions.
  • Proficiency in Microsoft Office Suite; Experience with contract management software/solutions is a plus.
