The Senior Corporate Counsel role will work on a variety of legal and regulatory matters, with a focus on drafting and negotiating contracts and advertising review and support. The Senior Corporate Counsel role will work on a variety of legal and regulatory matters, with a focus on drafting and negotiating contracts and advertising review and support. ESSENTIAL FUNCTIONS
- Independently review, draft, and negotiate contracts, amendments, and templates in support of the business, including but not limited to: Master Service Agreements, Sponsorship Agreements, Technology and SaaS Agreements, Supply Chain Agreements, Creative, Media, Content and Influencer Agreements, Licensing Agreements, Charitable Sponsorship Agreements, Vendor Agreements, Joint Promotion Agreements and Nondisclosure Agreements.
- Provide clear, concise, and practical legal and commercial advice and counsel to the business on a wide array of business and contractual issues while coordinating with other legal team members and stakeholders as necessary to collaborate effectively across all levels of the organization.
- Review and provide legal advice on all marketing and advertising materials, including digital content, print ads, social media campaigns, video advertisements, and promotional materials.
- Ensure compliance with applicable advertising laws, including but not limited to truth-in-advertising, consumer protection, data privacy, intellectual property, and regulatory requirements, including those related to the restaurant industry and food and packaging laws.
- Keep informed of new laws, regulations, and industry trends that could affect the company and proactively identify company risks and cost-conscious mitigating actions.
OTHER FUNCTIONS
- Research and advise on a variety of other legal and business matters as they arise, such as nutritional requirements, packaging laws, and state and local regulations relating to food and packaging.
- Provide general legal support to various business teams, including supply chain, marketing, and culinary, including general corporate and commercial research, analysis, and advice on a wide range of business and legal issues, managing legal risks, and assisting with key transactions and projects as requested.
Required Education and Experience:
- JD degree from an accredited law school.
- At least 5-7 years of legal experience, preferably in both private practice and as an in-house lawyer.
- Member of a State Bar in good standing.
- Commercial contracts experience, with experience negotiating and drafting contracts.
Knowledge, Skills & Abilities:
- Highly motivated self-starter with demonstrated ability to work efficiently, meet demanding deadlines, and manage competing priorities in a fast-paced environment with minimal supervision.
- Excellent writing, drafting, and verbal communication skills.
- Sound judgment; ability to make clear and reasoned recommendations.
