VP - Tax Counsel (Alternative Investments)
Position:
Jefferies' Tax Department is expanding to support the Firm's continued growth and diversification. The Firm seeks a highly motivated individual who will work closely with the Managing Director overseeing tax for the Firm's alternative investment businesses.
Responsibilities Include:
Assisting with day-to-day advisory coverage of the asset management business by maintaining (i) a high degree of expertise in US tax law, and (ii) a strong understanding of the business.
Evaluating transactions by (i) performing due diligence, including in respect to potential private equity and venture capital investments, as well as third party managers, (ii) identifying and assessing material tax risks and making recommendations accordingly, (iii) coordinating with external advisors as needed in respect to US and non-US tax matters, (iv) participating in the negotiation of side letters, (v) performing research and communicating clear and concise findings to the Managing Director, and (vi) staying up to date on tax law and industry developments.
Working on new funds and revenue share arrangements by (i) advising on entity specific and transactional structures, (ii) evaluating various tax elections, and (iii) commenting on legal documents (including partnership agreements, offering documents, investment management agreements, trading agreements, etc.).
Supporting the asset management tax compliance manager in order to ensure complete and timely investor reporting. This includes (i) helping to identify and track tax reporting from portfolio investments that they've covered from an advisory perspective, (ii) communicating with external tax return preparers, as needed, (iii) drafting investor tax communications, (iv) advising in respect to various tax technical matters in federal and state income tax returns and commenting on compliance related disclosures.
Drafting legal memoranda, including in respect to the technical analysis of tax positions for FIN 48 purposes and coordinating with internal and external tax and accounting teams.
Participating in special projects and performing other duties as assigned.
Experience and Skills Required:
J.D. with 3+ years of relevant tax experience, LL.M. in Tax a plus.
Project management skills, the ability to plan, prioritize and manage multiple projects and meet deadlines.
Ability to identify and assess tax risks.
Excellent written and verbal communication skills.
Attention to detail and excellent organizational skills.
Proficiency with online tax research tools (e.g., RIA Checkpoint or BNA).
Good team player, able work collaboratively and build cross functional relationships.
Primary Location Full Time Salary Range of $175,000 - $225,000
