About the role:
The Nuclear Company is seeking a highly skilled and experienced Corporate and Securities Counsel to join our legal team and provide expert legal guidance on corporate governance, securities law, and transactional matter. The Corporate and Securities Counsel will provide comprehensive legal support on a broad range of corporate and securities matters, ensuring compliance with applicable laws and regulations, and advising on strategic transactions. This role will be crucial in supporting the company's growth and development in the dynamic nuclear energy industry.

Estimated Starting Salary Range:
The estimated starting salary range for this role is $176,000 - $204,000 annually less applicable withholdings and deductions, paid on asemi-monthly basis. The actual salary offered may vary based on relevant factors as determined in the Company's discretion, which may include experience, qualifications, tenure, skill set, availability of qualified candidates, geographic location, certifications held, and other criteria deemed pertinent to the particular role.

The Corporate and Securities Counsel will provide comprehensive legal support on a broad range of corporate and securities matters, ensuring compliance with applicable laws and regulations, and advising on strategic transactions. This role will be crucial in supporting the company's growth and development in the dynamic nuclear energy industry.
Responsibilities:
Securities Law Compliance:
- Prepare and review securities filings, including registration statements, proxy statements, and other disclosure documents.
- Manage capitalization table, ensuring accuracy and compliance with shareholder agreements
Project Finance: In collaboration with finance, lead deal structuring for Project Finance facilities, negotiations and drafting of legal documents.
Corporate Governance:
- Provide legal counsel on corporate governance matters, including board of directors' duties, responsibilities, and best practices.
- Draft and review corporate governance policies and procedures.
- Advise on shareholder relations and corporate compliance.
Transactional Matters:
- Support mergers and acquisitions, joint ventures, and other strategic transactions.
- Conduct due diligence and negotiate transaction agreements.
- Advise on financing transactions, including equity and debt offerings.
- Lead and/or support primary and secondary transaction offerings
Contract Management:
- Draft, review, and negotiate complex commercial contracts.
- Advise on contract interpretation and enforcement.
- Manage contract disputes and litigation.
Legal Counsel:
- Provide expert legal advice on a wide range of corporate legal matters.
- Conduct legal research and analysis.
- Manage outside legal counsel as needed.
Compliance and Risk Management:
- Assist in developing and implementing compliance programs.
- Identify and mitigate corporate legal risks.
Experience
- Juris Doctor (JD) degree from an accredited law school.
- 10+ years of experience in corporate and securities law, preferably in a publicly traded company or law firm.
- Experience with mergers and acquisitions, and other corporate transactions.
- Experience with contract drafting and negotiation.
Skills:
- Excellent analytical, problem-solving, and communication skills.
- Strong understanding of corporate law and securities regulations.
- Ability to work independently and as part of a team.
- Strong attention to detail and organizational skills.
- Ability to manage multiple projects.
