Job Description
This Corporate and Securities Counsel is responsible for conducting relevant legal research in response to inquiries and providing timely legal advice and counsel to officers and employees of Northwest and its affiliates; working with representatives of Northwest to develop and/or modify practices and procedures to conform to applicable legal requirements and strategic directives; in consultation with Chief Counsel, exercising discretion in determining what legal work will be delegated to outside counsel and actively consulting with and managing outside counsel by directing and approving all key strategic and substantive actions in significant legal matters; managing the costs of outside legal services by way of use of alternative fee arrangements, budgets and preferred counsel lists, when appropriate.
Essential Functions
Experience with public offering of securities (debt and equity instruments) and experience with mergers and acquisitions
Review and advise on the company's SEC and NYSE periodic filings, including 10K, 10Qs, 8Ks and registration statements
Provide guidance and support for annual shareholder meetings, including preparation of proxy statements and related materials and advising on matters related to shareholder proposals
Responsible for Section 16 reporting and insider trading policies and practices
Manage the Company's corporate subsidiaries and ensure timely completion of all appropriate registrations and filings
Provide legal support to the Company's Disclosure Committee and Board Audit Committee
Collaborate with investor relations, finance, and communications teams in the preparation of earnings releases and other public announcements
Ability to lead special projects and coordinate with legal and administrative staff
Keeping Chief Counsel, as well as other appropriate Northwest individuals apprised of the status of all legal matters being worked whether in house or assigned to outside counsel and ensuring that the required services are provided in a timely matter.
Increase profitability via recommending improvements to procedures, minimizing departmental non-payroll costs, minimizing risk, and maximizing benefits to Northwest
Ensuring compliance within subsidiaries and affiliates
Additional Essential Functions
Ensure compliance with Northwest's policies and procedures, and Federal/State regulations
Navigate Microsoft Office Software, computer applications, and software specific to the department in order to maximize technology tools and gain efficiency
Work as part of a team
Work with on-site equipment

Required Education:
Law degree from an accredited law school
Required Work Experience:
5 - 6 years experience as a corporate and securities attorney (in a law firm or combination of law firm and in-house experience)
