About the role: Solen Software Group is seeking an experienced, strategic, and adaptable General Counsel to oversee the company's legal affairs. The General Counsel will provide critical legal advice to the leadership team, manage legal risks, and ensure compliance across the organization. This role will involve a wide range of legal responsibilities, including corporate governance, contracts, mergers and acquisitions, and intellectual property matters, within the context of software investment and operations.

About the role: Solen Software Group is seeking an experienced, strategic, and adaptable General Counsel to oversee the company's legal affairs. The General Counsel will provide critical legal advice to the leadership team, manage legal risks, and ensure compliance across the organization. This role will involve a wide range of legal responsibilities, including corporate governance, contracts, mergers and acquisitions, and intellectual property matters, within the context of software investment and operations.
The successful candidate will work from Solen's headquarters in Utah.
Key Responsibilities:
- Legal Leadership: Provide expert legal counsel to senior leadership and the Board of Directors on all major business decisions, strategic initiatives, and operational matters.
- Transaction Management: Lead legal aspects of acquisitions, investments, and partnerships, ensuring alignment with Solen's mission of long-term value creation.
- Corporate Governance & Compliance: Oversee governance matters, including securities law compliance, and manage internal policies to ensure regulatory adherence.
- Risk Management: Identify and manage legal risks, from commercial contracts to intellectual property, ensuring mitigation strategies are in place.
- Contract Negotiations: Lead and manage negotiations of complex contracts, including vendor, partnership, and SaaS agreements.
- Intellectual Property: Develop and enforce strategies to protect and leverage the company's intellectual property portfolio.
- Dispute Resolution: Oversee and manage any legal disputes, ensuring a proactive approach to resolving conflicts in the best interest of the company.
- Team Leadership: Manage and develop a legal team while collaborating with external counsel to ensure effective legal support across the organization.
- Ongoing Operations: support Operating Companies across multiple portfolios including contract negotiations, compliance monitoring, vendor management, implement insurance policies, and general legal aspects of business risk management.
- Legal Frameworks: design legal frameworks including legal playbooks, templates, policies, compensation structures, that empower teams and accelerate them as opposed to slowing them down.
Key requirements :
- Juris Doctor (JD) degree from an accredited law school and active bar membership.
- 10+ years of legal experience, particularly within software, technology, or investment industries.
- Experience in mergers and acquisitions, corporate governance, intellectual property, and commercial contract law.
- Proven track record in working with investment firms or technology companies, with a deep understanding of SaaS and software business models.
- Strong leadership skills and ability to drive legal strategy while working collaboratively with senior management.
- Excellent communication and negotiation skills with a pragmatic approach to legal challenges.
