Assistant Vice President, Securities Counsel | Phoenix, Arizona
We're seeking an exceptional legal mind to join this Phoenix team as Securities Counsel, AVP. This is your opportunity to leverage your securities expertise in a culture that values both legal precision and cross-functional collaboration.
Your Impact
In this pivotal role, you'll serve as the cornerstone of our client's compliance framework while building meaningful partnerships across departments. Your ability to translate complex regulatory requirements into actionable guidance will create alignment between Finance, HR, Compliance, and Investor Relations teams, fostering a culture of transparent communication and informed decision-making.
Your Core Responsibilities
Securities Law Leadership:
Drive the preparation and review of SEC filings (10-K, 10-Q, 8-K) with meticulous attention to regulatory compliance
Collaborate with communications team to develop compelling earnings releases and investor presentations
Provide authoritative guidance on public disclosure obligations and Regulation FD compliance
Maintain strategic relationships with outside counsel on specialized matters
Corporate Governance Excellence:
Orchestrate board and committee meetings in partnership with executive leadership
Champion the evolution of governance best practices within the organization
Spearhead legal aspects of stockholder meetings, coordinating seamlessly across multiple departments
Strategic Advisory:
Establish yourself as an indispensable advisor throughout the organization
Deliver insightful guidance on executive compensation structures and equity plans
Support corporate transactions through close collaboration with business development teams
Your Qualifications
Required:
JD from an accredited law school with active bar membership
6+ years of securities law and corporate governance experience
Exceptional communication skills-particularly translating legal complexities for non-legal audiences
Genuine enthusiasm for cross-functional collaboration
