The Office of Corporate Secretary is a group within the Equifax Legal Department that provides legal support in the areas of public company financial reporting, investor engagement and investor relations, internal and external communications, SEC and NYSE disclosure and compliance, corporate governance, executive and director compensation, global subsidiary management and matters related to the Board of Directors. The role of Associate General Counsel, Office of Corporate Secretary, will report to the Senior Vice President, Office of Corporate Secretary. This position requires flexible work hours.

What you'll do:

  • Assist in providing oversight and legal support for the planning, scheduling and coordination of meetings for the Equifax Inc. public company Board of Directors and its committees, including preparation of Board and committee agendas, minutes and resolutions.
  • Primary responsibility for oversight of global subsidiary management, including:
    • Communicating and collaborating with various departments within Equifax globally (including Tax, Treasury and International Legal) and outside Equifax (including outside counsel and third party corporate secretary firms) to oversee and assist with activities relating to organization and maintenance of overall corporate entity structure.
    • Oversee global subsidiary management platform (Diligent Blueprint), including developing and rolling out employee training.
    • Prepare and review entity organizational documents, including bylaws and operating agreements.
  • Assist with preparation and review of SEC filings and related communications, including Section 16 reports, Form 8-Ks, Form 10-Ks and 10-Qs, earnings presentations, and annual meeting proxy statements.
  • Assist with administration of insider trading policy.
  • Serve as primary point of contact for Equifax colleagues across departments for legal questions that arise related to corporate governance, including entity management, organizational structure and signature authority, etc.
  • Assist in providing legal support to HR Compensation and Benefits team members to resolve compensation-related questions, prepare equity award agreements and assist with other documentation.
  • Assist in providing legal support in connection with Equifax financing activities, including public offerings and bank facility refinancings. Serve as the primary point of contact for Treasury team members on routine financing activities.
  • Assist with review of internal and external communications prepared by the Communications Department.


Experience you have:
  • J.D. and 5+ years of experience as a corporate associate at a national law firm.
  • Prior experience with public company representation in the areas of corporate law, including matters of entity organization; experience with SEC regulations is required.
  • Flexible team player who thrives in an environment requiring the ability to effectively prioritize, coordinate and manage multiple concurrent projects.
  • Excellent interpersonal skills, with the ability to confidently and effectively communicate with co-workers, members of the Board, senior management and others inside and outside of Equifax.
