About the Team & Business Line
The Software License & Contracting Manager will play a key role in negotiating, drafting, and managing contracts related to the sale, licensing, and procurement of IT software solutions. Working closely with legal, procurement, sales, and finance teams, the candidate ensures that contracts are aligned with company objectives while minimizing risk and optimizing terms. The ideal candidate will have experience in the IT/software industry, possess strong analytical skills, and be able to navigate contracts related to IT hardware, software, and services. The ideal candidate will have a deep understanding of both IT hardware procurement and software licensing, ensuring contracts align with business needs and legal requirements.
This role will be responsible for ensuring that the company's software usage, licensing, and deployment comply with licensing agreements. This role involves managing internal audits, identifying compliance risks, and working closely with legal, procurement, IT, and external vendors to ensure adherence to software licensing policies. The ideal candidate will be pivotal in minimizing legal and financial risks related to software management and ensuring the company meets its contractual obligations.

Responsibilities
Your Role:
Contract Drafting & Negotiation:
- Draft, review, and negotiate a wide range of contracts, including but not limited to hardware procurement agreements, software licensing (SaaS, on-premise, etc.), maintenance agreements, NDAs, MSAs and professional services contracts.
- Collaborate with internal stakeholders to negotiate contract terms that protect the company's interests
- Modify standard agreements based on business requirements, customer requests, and applicable laws/regulations.
- Ensure all negotiated terms and conditions align with company policies, industry regulations, and best practices.
- Coordinate with legal counsel to address complex legal matters, ensuring contracts are enforceable and mitigate legal risk.
- Stay updated on IT industry standards, particularly around software licensing and hardware procurement regulations.
Vendor & Customer Relationship Management:
- Act as a liaison between the company and external parties during contract negotiations.
- Build and maintain strong working relationships with vendors and key stakeholders to facilitate smooth contract execution and future renewals.
- Assist in negotiating contracts with hardware and software vendors, ensuring competitive pricing and service level agreements (SLAs).
- Collaborate with sales, procurement, IT, legal, and finance teams to ensure contracts are aligned with company policies and objectives.
- Support cross-functional teams in analyzing the financial and operational impact of contract terms.
- Serve as the point of contact for internal teams regarding contract-related queries and negotiations.
Contract Lifecycle Management:
- Maintain an organized repository of all contract documents, ensuring proper record-keeping for audit and compliance purposes.
- Track contract lifecycles, ensuring timely renewals, amendments, and terminations.
- Assist in the development of contract management processes to optimize efficiency and reduce turnaround times.
- Ensure timely renewals and management of software contracts to avoid non-compliance or service interruptions
Software Licensing Compliance:
- Oversee the use, purchase, and deployment of software across the organization, ensuring it aligns with licensing agreements and regulatory standards.
- Track and manage software licenses (SaaS, on-premise, cloud services, etc.) to ensure the company operates within the agreed-upon terms.
- Regularly audit software usage to identify any potential non-compliance, unauthorized usage, or over-deployment.
- Develop and implement processes to monitor and track software compliance across different departments and geographical locations.
- Work with internal stakeholders to resolve compliance issues, escalating concerns to management as needed.
Policy Development & Training:
- Develop and enforce company-wide policies and best practices for software usage and compliance.
- Ensure proper documentation and reporting procedures are in place for software management, audits, and licensing renewals.
- Prepare training to employees, IT teams, and procurement staff on software licensing, compliance requirements, and risks.
Reporting & Documentation:
- Prepare reports on compliance status, audit findings, and recommendations for management and relevant stakeholders.
- Provide insights on software spending, identifying areas for cost-saving through effective license management.
Qualifications
Your Role:
- Bachelor's degree in Business Administration, Law, or a related field. A JD or certification in contract management (e.g., Certified Professional Contract Manager) is an advantage.
- 4-6 years of experience in contract negotiation, drafting, and management, specifically in IT hardware and software services.
- Strong understanding of software licensing models (SaaS, on-premise, perpetual licenses, etc.) and IT service agreements.
- Proven track record of leading high-value negotiations and managing complex procurement contracts.
- Experience negotiating with major IT vendors (e.g., Cisco, Microsoft, Dell) and managing complex hardware/software agreements.
- Experience with enterprise software vendors (e.g., Microsoft, Oracle, Adobe) and their licensing models.
- Strong knowledge of IT service contracts, software licensing agreements, and hardware procurement practices.
Skills:
- Excellent negotiation and communication skills with an ability to manage multiple contracts concurrently.
- Strong understanding of contract law, including understanding of software licensing models (SaaS, perpetual licenses) and hardware procurement processes and intellectual property rights, and risk mitigation.
- Detail-oriented with strong organizational skills to manage multiple contracts simultaneously.
- Proficient in contract management software.
- Ability to work under pressure and meet tight deadlines.
Preferred:
- Experience working with cloud computing, SaaS platforms, or enterprise software firms.
- Experience in negotiating international contracts and managing global vendor relationships.
- Familiarity with cloud services, cybersecurity agreements, and managed IT services contracts.
