Overview
The Associate Director, Equity Administration, will support the Corporate Controller in managing Insmed's (the Company's) global equity program, equity reporting and equity operational requirements. This includes administering the Company's equity compensation plans, developing and training on new SOPs, and supporting external reporting and equity accounting. This role will be critical in ensuring compliance with all audit requirements including SOX as well as plan requirements. In addition, this role will work with cross functional partners in Human Resources and Legal on a variety of collaborative projects, including executive compensation and equity tracking, the annual Proxy Statement, enabling plan modifications and employee communications around the equity program.
Responsibilities
Responsibilities: Supporting the Global Equity Domain
  • Serve as the primary point of contact for third-party equity management platform.
  • Administer and manage the Company's equity compensation plans, including stock options, restricted stock units (RSUs), the employee stock purchase plan (ESPP) and other equity grant types, as needed.
  • Coordinate with the transfer agent for management of reserves as well as issuances completed via DWAC.
  • Develop SOPs consistent with best practices while proactively managing the equity program.
  • Ensure compliance with plan documents, Company policies, and relevant regulations, such as Securities and Exchange Commission (SEC) regulations for publicly traded companies and IRS regulations for tax withholding and equity related matters.
  • Maintain accurate and up-to-date records of equity grants, exercises, and other related transactions; generate reports and summaries for internal and external reporting purposes.
  • Utilize equity administration software to manage and track equity grants, exercises, releases, ESPP purchases, and other plan-related activities.
  • Evaluate, recommend to Company leadership and implement equity plan changes.
  • Collaborate with Total Rewards to address employee inquiries related to equity compensation plans and transactions.
  • Work with Finance, Legal, and HR departments to implement changes to the Company's equity program or expand into new geographies as need may arise while ensuring compliance with applicable laws and regulations.
  • Work with Insmed Payroll personnel to ensure equity related income and taxes are calculated, processed and reported accurately and timely.
  • Partner with external tax advisors to ensure global payroll tax rates are accurately reflected in the equity platform and assist local payroll teams with preparation of tax calculations for global employee base.
Support the Company's ongoing operational, reporting and accounting requirements
  • Support period closing processes (Monthly, Quarterly and Yearly).
  • Conduct financial analysis of trends and variances, prepare reports and presentations providing insights to senior management.
  • Support the preparation of the Company's Financial Reports and Proxy Statement, provide necessary equity disclosures, and make sure reporting is up to date with local guidance.
  • Assist with tracking equity holdings of executive officers and directors and Section 16 reporting obligations.
  • Support the annual/quarterly audit process and manage annual Form 6039 filing.
  • Ensure compliance with Company's internal controls policies and SOX requirements.
Basic Qualifications
  • Bachelor's degree completed with 7 + years of experience in equity administration at a public company
  • In-depth knowledge of equity compensation regulations, tax implications, and accounting principles
  • Strong understanding of U.S. GAAP related to stock compensation
  • Proficiency with Merrill Lynch or other equity administration platforms
  • Advanced proficiency in Microsoft Excel
Preferred Qualifications:
  • CPA and a bachelor's degree in accounting (preferred)
  • Strong technical skills and attention to detail

Salary Range
$139,000 - $195,200 a year
