Direct Counsel is seeking a Structured Finance Associate to join a prestigious, full-service law firm with a top-ranked finance practice and a global platform. The position is open in any of the firm's U.S. offices, with a preference for Houston, Chicago, Los Angeles, or New York.

This is a dynamic opportunity for a mid-level associate with strong experience in derivatives and structured finance to work alongside nationally recognized partners and contribute to high-profile, complex transactions across sectors. The team represents a diverse client base that includes financial institutions, investment banks, asset managers, private equity sponsors, and corporate borrowers.

Ideal Candidate Profile:
  • 3 to 5 years of experience practicing in the areas of derivatives and structured finance at a nationally recognized law firm.
  • Substantive experience drafting and negotiating documentation under the ISDA Master Agreement, including Schedules, Credit Support Annexes, Confirmations, and related agreements.
  • Familiarity with Dodd-Frank regulatory requirements and ISDA protocols is strongly preferred.
  • Excellent legal research, writing, and analytical skills, with a demonstrated ability to manage multiple projects in a fast-paced, collaborative environment.
  • Strong business judgment and communication skills, and the ability to interact effectively with clients, co-counsel, and team members across offices.
  • Must be licensed and in good standing in the jurisdiction where you are applying.

Responsibilities:
  • Support the firm's Structured Finance practice by advising clients on a wide range of structured products, derivatives, and regulatory matters.
  • Draft and negotiate complex agreements involving cleared and uncleared swaps, repos, and securities lending arrangements.
  • Advise clients on the regulatory landscape affecting derivatives markets, including compliance with U.S. and international laws and regulations.
  • Work directly with partners and clients on cross-border and domestic transactions, providing innovative legal solutions tailored to client goals.
  • Stay up to date on legal and market developments affecting the structured finance and derivatives space.

Compensation & Benefits:
  • Base salary range: $260,000 - $365,000, commensurate with experience
