The Vice President, Managing Counsel - GCT will have a strong business orientation and be responsible for leading a team of lawyers that negotiate, draft, review and provide legal counsel on client, strategic and vendor contracts and support other contract related matters for ADP, including for the ADP's sales organization, client success/account management organization, and procurement. The role will also support compliance and regulatory aspects impacting commercial operations on behalf of Global Sales. The role will report directly to the Vice President, Assistant General Counsel of the GCT and will serve as a critical member of the GCT leadership team.

The role will report directly to the Vice President, Assistant General Counsel of the GCT and will serve as a critical member of the GCT leadership team.
General Responsibilities:

- Utilize balanced lawyering to efficiently and effectively draft, negotiate and close complex technology, outsourcing, vendor and other commercial agreements (including, HCM, complex cross-border outsourcing, SaaS, vendor and strategic partnership agreements) while leading a team of lawyers who do the same.
- Partner effectively with ADP stakeholders and leaders (e.g., Business Unit (BU) Leaders, BU Commercial Operations, Finance, Global Sales, Privacy and Risk Management) to ensure contract terms are consistent with ADP's business practices, policies and goals.
- Serve as a point of escalation and resolution for team of lawyers.
- Identify and drive improvements to the contract process, including by engaging team of lawyers to support business process improvement initiatives and deployment of appropriate technology in support of GCT objectives.
- Organize and provide periodic training to members of the GCT to ensure consistent understanding of contract processes and content and foster a collective mindset of continuous improvement.
- Accountable for key performance success measures to address contract throughput, contract quality, associate efficiency, internal and external NPS results, as well as associate engagement, among other things.
- Provide counsel and advice in monitoring and resolving disputes, litigation, investigations and regulatory matters related to the agreements negotiated within the GCT.
- Provide legal counsel and advice to Worldwide Commercial Operations related to sales learning, technology deployments, compliance, and regulatory matters impacting the Global Sales organization.
- Maintain current knowledge of legal issues of importance to ADP through participation in continuing legal education and membership in appropriate bar and professional associations.
Managerial Responsibility:
- Manages lawyers in various ADP locations.
- Responsible for hiring, developing and retaining lawyers who perform at a top level, managing performance and compensation decisions.
The position will be based in Alpharetta, Georgia, Miami, Florida or Roseland, New Jersey.
Qualifications:
- JD degree required; licensed to practice law in the US.
- 15+ years of extensive legal experience in a corporate law firm and/or as an in-house counsel with specific emphasis on contract negotiation, drafting, interpretation and contract process management.
- Experience with outsourcing agreements, software licensing and other technology-related contracts is required.
- Experience advising a business or operations in connection with legal aspects relating to the activities of the business.
- Excellent negotiation and drafting skills required.
- General familiarity with privacy laws useful.
- Strong business and legal judgment essential.
- Must be proficient in ability to assess risks and opportunities and determine the right level of risks to assume given the benefits to ADP.
- Strong management skills with ability to lead, motivate, and mentor subordinates.
- Must be analytical, detail oriented, and possess good organizational skills.
- Must be able to manage multiple complex matters and proactively anticipate issues or problems as or before they arise.
- Must have strong interpersonal, verbal and written communication, presentation and leadership skills.
- Must possess a solid academic and impeccable ethics record.
- Must be able to accommodate travel as required.
