Job Summary and Qualifications

Position Summary

Provides increasingly complex, substantive business, technical, and legal review, including analysis and interpretation of ITG contracts including, but not limited to, order forms, statements of work, amendments, evaluation agreements, assignments, non-disclosure agreements (NDA), business associate agreements (BAA), and master agreements in support of operations and strategic initiatives of the HCA enterprise, including a variety of subsidiaries and operating units. Manages a team of contract analysts.

Major Responsibilities:

  • Utilizes the Contract Management System (CMS) to research, facilitate and execute the ITG contract process; maintains the accuracy and integrity of the information contained in the CMS.
  • This position requires broad subject matter expertise of IT contracting and negotiation in a healthcare environment with an emphasis on complex contracts including, but not limited to, professional services, various software licensing methods (on-premise and cloud offerings (Software as a Service, Platform as a Service, and Infrastructure as a Service)), diverse regulatory policies including HIPAA, consumer protection, Stark Law, and the EU's General Data Protection Regulation (GDPR), and information security practices.
  • Stays up to date with current technology trends and naming conventions, in general and within the healthcare industry.
  • Manages a team of contract analysts, and is responsible for their respective training and development. Works with Director, IT Contracts and management peers to develop and coordinate contracting practices, projects, and process improvement initiatives
  • Supports the HCA enterprise, including all ITG business units, and reports directly to the Contract Director.
  • Works closely with Technology & Innovation Law Group, Directors, Business Owners, Solution Leaders, Project Managers, Financial Analysts, Strategic Sourcing, Information Protection & Security, area VPs, and other Executive Management.
  • Demonstrates professionalism and competence when representing ITG in direct interactions with non-ITG stakeholders, including affiliates such as our group purchasing organization, other HCA enterprise business units and departments, outside counsel, and vendor representatives.
  • Recognizes when escalated review is needed; determines the appropriate point of escalation; and ensures the person or team performing such review has all relevant information and documentation.
  • Decisions made in this role may have implications related to compliance, including, without limitation, with internal policies, administrative regulations, state/federal laws, and international policies.
  • Demonstrates superior judgment, high ethical standards, a strong attention to detail, and effective written and verbal communication skills. Must have the ability to work effectively and efficiently on multiple tasks in parallel, while meeting deadlines, communicating effectively with relevant stakeholders, and maintaining high quality standards.
  • Exceptional knowledge and understanding of IT contracting methodologies is required. Strong knowledge and understanding of current IT/healthcare industry products, services, and trends is preferred.
  • Must be comfortable with Microsoft Office products and able to learn and utilize new technology resources as required.
  • Coordinates complex negotiations with ITG vendors, secondary reviewers, and internal stakeholders.
  • Performs other duties as assigned

Common Tasks

  • Level One (Frequent)
    • Substantial review and analysis of complex ITG agreements and preparation of redlines incorporating business, technical, legal, and SME feedback. Facilitate internal discussions with relevant ITG stakeholders regarding proposed contracting terms and escalate for heightened review as appropriate under ITG contracting standards.
    • Negotiation and interface with internal stakeholders and vendor representatives.
    • Serve as a subject matter expert in the areas of ITG contracting practices and negotiation to serve as an escalation step for less senior members of ITG Contracts group.
  • Level Two (As Needed)
    • Substantive analysis and interpretation of active ITG agreements as required by the organization.
    • Manage direct reports to include mentoring, development, teaching, and delegation of workload.
    • Coordinate and assist training and other communications with the ITG business community in the areas of contracting process, risk, and analysis to include responding to inquiries to the ITG Contracts mailbox.
    • Serve in a leadership role within the team and actively participate in internal discussions with ITG Legal and other stakeholders regarding matters including, but not limited to, negotiation strategy, contracting terms, coordination of special projects, and updates to policies and processes.


Education & Experience:

  • Bachelor's degree Required
  • 5+ years of experience in a leadership role Required
  • 10+ years of experience in contract review, processing, and negotiation Preferred
  • Or equivalent combination of education and/or experience
