Essential Duties and Responsibilities:
- Provide expert legal counsel on diverse CMBS transactions, as well as CRE CLOs.
- Lead the preparation and negotiation of vital transaction documents such as bid letters, securitization disclosures, and operative agreements.
- Play a pivotal role in deal structuring, and actively assist with due diligence, transaction execution, and post-closing matters.
- Ensure all transactions comply with current regulatory and industry standards.
- Collaborate cross-functionally within the Global Finance group to leverage resources and maximize client service delivery.
Minimum Position Qualifications:
- JD from a top-tier law school with a commendable academic record.
- Active Bar Admission in Pennsylvania.
- Class years 2017-2021 with substantive experience in securitization and structured finance, especially in the CMBS area.
- Proven ability in drafting and negotiating complex securitization documents such as pooling and servicing agreements, and mortgage loan purchase agreements.
- Experience with commercial real estate repurchase facilities and warehouse lending.
- Capable of managing due diligence processes and leading transactions through to closing.
Preferred Qualifications:
- Extensive experience in a large law firm setting specifically within the CMBS sector.
- Strong familiarity with relevant legal frameworks and compliance requirements in securitization and structured finance.
- Demonstrated leadership in managing complex legal transactions and negotiating skills.
- Excellent interpersonal and communication skills to efficiently collaborate with clients and team members.
- Aptitude for influencing and advising senior management on insightful legal strategies and solutions.
